What the Project Management Heating & Cooling Agreement Is

A Project Management Heating & Cooling Agreement is a written contract that sets the scope, schedule, responsibilities, and payment terms for HVAC project management services. It defines contractor and client roles, milestones, deliverables, warranty periods, and acceptance criteria. The agreement helps align expectations for installation, replacement, or maintenance projects and serves as the primary record for disputes, lien rights, and invoicing throughout the project lifecycle.

Why a Clear Agreement Matters for HVAC Projects

A complete agreement reduces scope disputes, clarifies payment timing, protects lien and warranty rights, and documents change‑order procedures. It establishes who manages subcontractors, procurement, safety, and inspections so projects run on schedule and costs remain predictable.

Why a Clear Agreement Matters for HVAC Projects

Who Typically Prepares or Signs This Agreement

Parties should ensure authorized signers and any required corporate approvals are identified before execution to avoid invalid signatures or delays.

  • HVAC contractors and project managers coordinating trades, materials, and inspections on-site.
  • Property owners and facility managers who approve budgets, schedules, and acceptance criteria.
  • General contractors or construction managers who integrate HVAC scope into broader project schedules.

Core Sections to Include in a Professional Agreement

A robust agreement groups commercial, operational, and legal terms into clearly labeled sections so both parties can reference obligations throughout the project.

Scope

Detailed description of work, included services, excluded items, and referenced technical specifications or drawings to avoid ambiguity during execution.

Schedule

Milestones, notice to proceed date, critical path tasks, and penalties or liquidated damages for missed dates when negotiated.

Payment

Payment amounts or formulas, schedule (progress, milestone, final), retainage terms, and invoice submission requirements.

Change Orders

Procedure for pricing, approval authority, and time extensions for owner-directed or unforeseen work impacting time or cost.

Warranties

Manufacturer and contractor warranties, warranty period, claim procedure, and obligations for corrective work.

Dispute & Legal

Governing law, venue, indemnity limits, insurance requirements, and mechanics' lien rights and remedies.

Step-by-Step: Complete the Agreement

Follow a consistent sequence to draft, review, sign, and distribute the executed agreement so responsibilities and dates align across stakeholders.

  • 01
Draft: Populate scope, schedule, and pricing fields; attach exhibits and drawings.
  • 02
Review: Legal and operations review for compliance and constructability checks.
  • 03
Authorize: Confirm signatory authority and required approvals before sending to signers.
  • 04
Execute: Collect signatures, retain audit trail, and distribute fully executed copies.

Configure an Online Signing Workflow

Set field roles, signer order, authentication, and reminders to match internal approvals and external contractor responsibilities.

Field Configuration
Signer Order Sequential or parallel routing as required
Authentication Email link, SMS code, or stronger multi-factor options
Reminders Automatic reminders frequency and escalation
Completion Copy Automatic distribution to parties and project management system

Digital Signing and Technical Considerations

Ensure the selected provider supports any regulatory needs (HIPAA BAA if health facilities involved), provides tamper-evident signed documents, and integrates with your document management systems for retention.

  • File Types: PDF, DOCX supported
  • Integrations: Salesforce, NetSuite, Procore available
  • Security: AES-256 at rest

Typical eSignature Flow for the Agreement

Use an established signing sequence to reduce signer friction and maintain a complete audit trail for future disputes or audits.

  • Upload Document: Add final agreement and exhibits
  • Place Fields: Add signature, initials, and date fields
  • Invite Signers: Send secure link or email invitation
  • Complete & Archive: Collect signatures and store signed PDF

Key Dates and Deadlines to Track

Specify and communicate all dates clearly in the agreement and link them to invoicing and acceptance workflows to prevent disputes.

Payment Due Dates:

Payment due within 30 days of invoice unless otherwise specified

Notice to Proceed:

Owner issues notice to proceed to start mobilization

Change Order Response:

Contractor must respond to change orders within 7–14 days

Substantial Completion:

Date for owner inspection and punch list generation

Warranty Start:

Warranty period begins on final acceptance date

Project Milestones From Contract to Closeout

Lay out a clear milestone sequence so approvals, inspections, and payments follow predictable stages during project delivery.

01

Contract Signed

All parties execute the agreement and issue initial invoice or deposit

02

Mobilization

Equipment ordering, site setup, and subcontractor scheduling begin

03

Mid-Project Inspection

Intermediate acceptance and quality checks performed

04

Final Acceptance

Punch list corrected, final invoice paid, warranty recorded

Common Mistakes to Avoid

  • Vague scope descriptions that trigger disagreements over included versus excluded work and increase change order volume.
  • Missing signatory authority where individuals sign without corporate authorization, creating enforceability and payment problems.
  • Unclear payment milestones or retainage terms that delay invoicing and lead to collections disputes or withheld funds.
  • Failure to attach specifications, drawings, or product serial numbers, which complicates warranty claims and acceptance testing.

Key Risks and Potential Consequences

Mechanic's Lien: Possible lien exposure
Delay Damages: Liquidated damages may apply
Payment Withholding: Owner may withhold funds
Contract Termination: Risk of early termination
Regulatory Noncompliance: Fines or stop-work orders
Tax Reporting: Backup withholding risk
