PROJECT MANAGEMENT HOSTING AGREEMENT

This Project Management Hosting Agreement (Agreement) is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

Project Identification

Scope of Work

The Service Provider shall host, configure, maintain and provide project management platform services and associated administrative support described below. The scope includes initial configuration, migration of Client project data if applicable, routine maintenance, security patching, backup operations, monitoring, and user support as set forth in this Agreement.

Deliverables and Acceptance

The Service Provider will deliver the following items. Each deliverable shall include acceptance criteria and an acceptance review period during which Client may test functionality and performance. Deliverables accepted in writing or by implied acceptance per the acceptance period shall be considered approved.

Timeline and Milestones

The parties agree to the project timeline and milestone schedule set forth below. Time is of the essence for milestone completion unless excused under the Force Majeure clause.

Budget and Payment

Client shall pay Service Provider the fees set forth below according to the payment schedule. All fees are exclusive of taxes unless otherwise stated.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Service Provider may suspend hosting services for accounts more than 30 days past due after written notice.

Change Order Process

Changes to scope, schedule or deliverables will be implemented only by written Change Order signed by authorized representatives of both parties. Change Orders shall specify changes, impact on price, and adjustment to schedule. Service Provider may charge a change management fee where applicable.

Service Levels, Maintenance & Backup

Service Provider will use commercially reasonable efforts to provide hosting services with an availability target and will perform routine maintenance and backups. Emergency maintenance may be performed with prior notice where practicable. Recovery objectives, backup retention, and scheduled maintenance windows are defined below.

Data Ownership, Security, and Privacy

Client retains all right, title and interest in its data uploaded to the hosted platform. Service Provider will implement reasonable administrative, physical, and technical safeguards to protect Client data. Service Provider shall promptly notify Client of any unauthorized disclosure or loss of Client data and shall cooperate in remediation.

Confidentiality

Each party shall maintain the confidentiality of the other party's Confidential Information and shall not disclose such information except to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement. Confidential Information does not include information that is publicly available or rightfully obtained from a third party without restriction.

Warranties, Indemnification and Limitation of Liability

Service Provider warrants that services will be provided with reasonable skill and care. Except as expressly set forth, services are provided 'as is' and Service Provider disclaims all other warranties. Each party shall indemnify the other against third-party claims arising from its breach of this Agreement or its negligent acts. Neither party shall be liable for consequential, incidental, special or punitive damages, and aggregate liability shall be limited to the fees paid under this Agreement for the preceding twelve months, except for liabilities arising from willful misconduct or breach of confidentiality.

Termination

Either party may terminate this Agreement for material breach if the breach remains uncured 30 days after written notice. Client may terminate for convenience with 60 days' prior written notice and shall pay for services rendered and reasonable wind-down costs. Upon termination, Service Provider shall provide Client the means to export Client data in a standard format within a reasonable period and thereafter securely delete Client data as directed.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the Governing State: without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes by negotiation prior to commencing litigation.

Force Majeure and Notices

Neither party shall be liable for delays or failures in performance caused by events beyond its reasonable control, including natural disasters, acts of government, or telecommunications failures. Notices under this Agreement shall be in writing and delivered to the contact information provided above.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements. Any amendments must be in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remaining provisions shall continue in full force and effect.
