This Project Management Agreement (the "Agreement") is entered into effective as of , by and between:

WHEREAS

WHEREAS, Client desires to engage Service Provider to perform project management services in connection with the Project described herein, and Service Provider has the expertise and capacity to perform such services in accordance with the terms of this Agreement; and

WHEREAS, the parties wish to set forth the scope, deliverables, payment terms, confidentiality obligations and other contractual allocations of risk and responsibility governing the relationship between them.

SCOPE OF WORK

Service Provider shall provide project management services for the Project, including but not limited to planning, scheduling, vendor coordination, progress reporting, risk management, change management, and stakeholder communications, all as further detailed below.

PAYMENT TERMS

Client shall pay Service Provider fees for the Services as set forth below. Fees shall be payable in United States Dollars in accordance with the agreed schedule.

Invoices shall be submitted by Service Provider in accordance with the payment schedule and are due within days of receipt.

Late payments shall bear interest at the lesser of per month or the maximum rate permitted by law. The remedy for late payment shall be cumulative and in addition to other remedies.

Client shall reimburse reasonable out-of-pocket expenses pre-approved in writing. Pre-approval may be evidenced by email or written instruction and such expenses shall be billed with supporting receipts.

TERM AND TERMINATION

This Agreement shall commence on , and shall continue until , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination for material breach shall be effective upon written notice if the breaching party fails to cure the breach within days of notice.

Upon termination, Service Provider shall submit a final invoice for services performed through the termination date and Client shall pay for all undisputed fees and pre-approved expenses incurred through such date.

CONFIDENTIALITY

Each party acknowledges that it may receive confidential, proprietary or trade secret information of the other party ("Confidential Information"). Confidential Information includes non-public financial, technical, product, process and business information, and any materials marked or identified as confidential.

Each party shall: (a) hold the other party's Confidential Information in strict confidence; (b) not use Confidential Information except to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those contained herein.

The confidentiality obligations shall not apply to information that is: (i) known publicly at the time of disclosure or subsequently becomes publicly available through no fault of the receiving party; (ii) rightfully received from a third party without restriction; (iii) independently developed by the receiving party without use of the disclosing party's Confidential Information; or (iv) required to be disclosed by applicable law or valid legal process, provided the receiving party gives prompt notice and cooperates with the disclosing party to seek protective measures.

LIMITATION OF LIABILITY & INDEMNITY

Each party shall indemnify and hold harmless the other party from claims arising out of its negligence, willful misconduct or breach of this Agreement. Except for liability arising from gross negligence, willful misconduct, or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages, and aggregate liability shall be limited to the fees paid or payable under this Agreement during the twelve (12) month period preceding the event giving rise to the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Exclusive jurisdiction and venue for any dispute arising from this Agreement shall be in the state or federal courts located within that state.

ENTIRE AGREEMENT

This Agreement, including any attachments and referenced schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition or sale of substantially all of its assets, provided the assignee assumes the assigning party's obligations. Notices required under this Agreement shall be in writing and delivered to the addresses set forth above.
