Confidentiality

Each party shall maintain the confidentiality of Confidential Information disclosed by the other party, shall not use such information except to perform its obligations under this Proposal, and shall limit disclosure to personnel who have a need to know. Confidential Information does not include information that is or becomes generally available to the public through no breach of this Proposal, or which is independently developed by the receiving party.

Intellectual Property

Unless otherwise agreed in writing, the Service Provider grants the Client a non-exclusive, perpetual license to use deliverables for the Client’s internal business purposes upon full payment. Pre-existing materials, background IP and third-party components remain the property of the Service Provider or respective third parties and are licensed to the Client only as necessary to use the deliverables.

Warranties, Limitation of Liability & Indemnity

The Service Provider warrants that services will be performed in a professional manner in accordance with industry standards. Except for gross negligence or willful misconduct, each party's aggregate liability arising from or related to this Proposal will be limited to direct damages not to exceed the total fees paid under this Proposal. Each party will indemnify the other against third-party claims arising from its negligent acts or breaches of representation.

Termination

Either party may terminate this Proposal for material breach if such breach remains uncured thirty (30) days after written notice. Upon termination, the Client will pay the Service Provider for all services performed and costs incurred through the effective date of termination, subject to any applicable set-offs for nonconforming work.
