This Installation Document sets forth the scope of work to be performed by the Service Provider at the installation site identified above. The Service Provider will provide labor, materials, supervision, testing, and documentation necessary to complete the installation in accordance with the deliverables and schedule herein.

Each deliverable shall be accompanied by defined acceptance criteria. Acceptance occurs when Client confirms in writing that the deliverable materially conforms to the acceptance criteria and the obligations set forth herein.

The Service Provider shall perform work in accordance with the schedule below. Dates are target dates; any material change must follow the Change Order Process section.

Change Order Process

Any modification to the scope, schedule, or price shall be effected only by a written Change Order executed by authorized representatives of both parties. The Change Order shall describe the change, the impact on schedule, and any adjustment to the contract price.

Client and Service Provider Responsibilities

Client shall provide access to the site, timely decisions, and any site-specific approvals. Service Provider shall perform work in a good and workmanlike manner consistent with industry standards and in compliance with all applicable laws.

Confidentiality

Both parties acknowledge that they may receive Confidential Information. Each party shall protect such information with at least the same degree of care it uses to protect its own confidential information and shall not disclose it except to those who need to know and are bound to confidentiality obligations at least as protective as those herein. Confidential Information does not include information that is or becomes publicly available other than by breach of this Agreement.

Warranties & Limitation of Liability

Service Provider warrants that installation services will conform to the documented acceptance criteria for a period of ninety (90) days from final acceptance, unless a longer warranty period is specified in writing. Except as expressly provided, all other warranties are disclaimed to the maximum extent permitted by law. Neither party shall be liable for indirect, incidental, or consequential damages except to the extent caused by willful misconduct or gross negligence.

Governing Law

This Installation Document shall be governed by and construed in accordance with the laws of the state identified below without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located within that state for disputes arising under or in connection with this document.

Final Provisions

This Installation Document, including any executed Change Orders, constitutes the entire agreement between the parties regarding the installation services. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.
