Change Order Process

All changes to scope, schedule, or price must be effected by a written Change Order executed by authorized representatives of both parties. Change Orders shall describe the work, the impact on price, and any schedule adjustments. Work performed without an executed Change Order may be invoiced but is subject to Client approval.

Insurance, Safety and Site Access

Provider shall maintain commercially reasonable insurance coverage and comply with applicable safety laws and site rules. Client shall provide site access, utilities, and any site-specific permits or approvals required for installation. Provider will notify Client in writing of any hazardous site conditions that affect performance.

Warranties, Liability and Acceptance

Provider warrants that installation services will be performed in a professional manner in accordance with industry standards for a period specified below. Remedies for breach of this warranty are limited to re-performance of deficient work or a refund of applicable fees, at Provider's election. Except for willful misconduct, neither party shall be liable for consequential damages. The parties' aggregate liability for claims arising out of this Quote shall not exceed the total fees paid under this Quote.

Confidentiality

Each party shall maintain as confidential all information disclosed in connection with the performance of this Quote that is designated confidential or that reasonably should be considered confidential. Confidential information shall not be disclosed except to employees, subcontractors, or advisors with a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations survive termination of this Quote for three years.

Force Majeure and Delays

Neither party shall be liable for delays or failure to perform due to causes beyond its reasonable control, including acts of God, strikes, governmental actions, or supply chain interruptions. Affected party shall provide prompt written notice and take commercially reasonable steps to mitigate delay.

Governing Law and Dispute Resolution

This Quote and any dispute arising from it shall be governed by the laws of the jurisdiction specified below, without regard to conflict of law rules. The parties agree to attempt good faith negotiation prior to initiating formal dispute resolution.
