Budget & Payment

Invoices will be submitted in accordance with the Payment Schedule. Unless otherwise stated, Client shall remit payment within 30 days of invoice date. Disputed amounts must be notified in writing within 10 days of receipt of invoice; undisputed portions remain payable.

Change orders that affect scope, schedule, or price must be documented and approved in writing. Additional work will be billed at agreed rates or as stated in an approved change order.

Warranties & Liability

Service Provider warrants that installation services will be free from defects in workmanship for a period of months from date of Acceptance. This warranty does not cover damage caused by misuse, alteration, or unauthorized repair. Except as expressly provided, Service Provider disclaims all other warranties.

Neither party shall be liable for indirect, incidental or consequential damages except for gross negligence or willful misconduct. Aggregate liability shall not exceed the total fees paid under this SOW for the work giving rise to the claim.

Confidentiality

Each party shall maintain in confidence all proprietary or confidential information disclosed by the other party in connection with this SOW. Confidential information shall not be disclosed except to those employees, subcontractors or agents who need to know and who are bound to maintain confidentiality. This obligation survives termination of this SOW for a period of two years.
