Scope of Work

The Service Provider shall perform the professional services necessary to integrate project management systems, processes, and artifacts as described below. All work shall conform to the acceptance criteria set forth in this document and any mutually executed change orders.

Deliverables and Acceptance

Each deliverable shall include the deliverable item, a description, the associated acceptance criteria, and the due date. Acceptance is defined below.

Acceptance Procedure: Deliverables shall be submitted in writing. Client will either (a) provide written acceptance, or (b) provide a written list of deficiencies within 10 business days of delivery. Absent timely written rejection, the deliverable is deemed accepted.

All changes to scope, schedule, or fees must be documented in a written change order signed by authorized representatives of both parties prior to the commencement of changed work.

Confidentiality

Each party shall treat as confidential all non-public information disclosed in connection with this engagement and shall not use or disclose such information except as necessary to perform its obligations under this agreement or as required by law. Confidential information shall not include information that is or becomes publicly available other than by breach of this agreement, or which is rightfully received from a third party without restriction.

Intellectual Property & Deliverable Ownership

Subject to full payment of all fees due hereunder, the Service Provider assigns to Client all right, title and interest in the final deliverables created specifically for Client under this agreement. The Service Provider retains ownership of its pre-existing intellectual property and tools and grants Client a non-exclusive license to any such tools only to the extent they are embedded in deliverables.

Warranties, Liability & Termination

The Service Provider warrants that the services will be performed with reasonable skill and care. EXCEPT FOR THE FOREGOING, SERVICES ARE PROVIDED "AS IS" AND THE SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES. Each party's aggregate liability for any claim arising out of this agreement shall be limited to direct damages up to the total fees paid for the specific work giving rise to the claim. Neither party shall be liable for consequential damages.

Either party may terminate this agreement for convenience upon written notice of days; termination for cause may occur immediately for material breach not cured within days following notice.

Governing Law & Dispute Resolution

This agreement shall be governed by the laws of without regard to conflicts of law rules. The parties agree to attempt in good faith to resolve disputes prior to commencing litigation. If unresolved, disputes shall be resolved by binding arbitration in the agreed jurisdiction unless the parties mutually agree otherwise.

Miscellaneous Provisions

This document, together with any executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals and understandings. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

Client Responsibilities: Client shall provide timely access to systems, personnel, data, and decisions necessary for the Service Provider to perform the work. The Service Provider shall not be liable for delays caused by Client's failure to meet responsibilities.

Service Provider Responsibilities: The Service Provider shall perform the work in accordance with the scope, deliverables, and timeline, and shall provide progress reports, testing, training, and reasonable post-integration support as set forth in the payment schedule and change order process.
