Any changes to scope, deliverables, schedule, or budget shall be authorized only by a written Change Order signed by both parties. Confidentiality & Data Security

Both parties agree to treat as confidential all non-public information exchanged in connection with performance under this Proposal. Confidentiality obligations survive termination for a period of three years.

Termination

Either party may terminate this Proposal for material breach if the other party fails to cure the breach within 30 days after written notice. Upon termination, the Client will pay the Service Provider for all work performed and costs incurred through the effective date of termination, including reasonable wind-down costs.

Governing Law

This Proposal shall be governed by and construed in accordance with the laws of the state or jurisdiction identified below, excluding its conflict of laws rules. Any dispute arising out of this Proposal shall be subject to the exclusive jurisdiction identified herein unless the parties agree otherwise in writing.
