PROJECT MANAGEMENT JOB CONTRACT

This Project Management Job Contract (the "Agreement") is entered into as of by and between the parties identified below.

WHEREAS, Client desires to retain Service Provider to perform project management services in connection with the Project identified above; and WHEREAS, Service Provider has represented that it possesses the necessary resources and expertise to perform such services under the terms and conditions set forth in this Agreement.

Service Provider shall provide the professional project management services described below. Services shall include planning, scheduling, risk management, resource coordination, status reporting, quality oversight, and change control as appropriate to achieve the Project objectives.

Change Order Process

All modifications to the Scope of Work, Deliverables, Schedule, or Budget shall be effectuated only by a written change order signed by authorized representatives of both parties. Service Provider shall not proceed with change order work until the change order is signed.

Confidentiality

Each party agrees to maintain in confidence all non-public information disclosed by the other party in connection with the Project. Confidential information shall be used solely for performance under this Agreement. Confidential obligations survive termination for a period of three (3) years, unless otherwise agreed in writing.

Intellectual Property

Unless otherwise agreed in writing, Service Provider assigns to Client all rights, title, and interest in deliverables created specifically for the Client under this Agreement upon full payment. Service Provider retains ownership of its pre-existing tools, methodologies, templates, and general know-how, provided no Client confidential information is disclosed without authorization.

Warranties; Limitation of Liability; Indemnification

Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED, ALL OTHER WARRANTIES ARE DISCLAIMED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES. Service Provider shall indemnify Client for third-party claims arising from Service Provider's breach of this Agreement or negligent acts, subject to any monetary limitations set forth below.

Termination

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within thirty (30) days after written notice. Upon termination, Client shall pay Service Provider for all work performed and expenses incurred through the effective date of termination, subject to set-offs for undelivered or deficient work.

Dispute Resolution & Governing Law

This Agreement shall be governed by the laws of the state of without regard to conflict-of-law principles. Parties shall attempt good faith negotiation to resolve disputes prior to initiating litigation or arbitration.

Notices

Miscellaneous

This Agreement, together with any executed change orders or attachments, constitutes the entire agreement between the parties concerning the Project and supersedes prior proposals and communications. Any amendment must be in writing and signed by authorized representatives of both parties.
