PROJECT MANAGEMENT JOB SPECIFICATION

Project Identification

Scope of Work

The Service Provider shall perform the project management services described below in accordance with the terms of this Job Specification. Services shall include planning, coordination, reporting, risk management, quality assurance and stakeholder communications as further specified.

Deliverables & Acceptance

The Service Provider will deliver the items listed below. Each deliverable must include explicit acceptance criteria and shall be subject to Client acceptance testing as described.

Timeline & Milestones

All work shall be performed in accordance with the schedule below. Time is of the essence for scheduled milestones.

Budget, Invoicing & Payment

Late payments shall accrue interest at the rate specified in the payment terms of the underlying contract. All amounts are exclusive of taxes unless otherwise specified, and each party shall be responsible for its own taxes arising from the payments under this specification.

Change Order Process

Any changes to scope, schedule, deliverables or price shall be executed only by a written change order signed by authorized representatives of both parties. The change order shall state the change, impact on schedule, and any adjustment to the contract price.

Confidentiality

The parties acknowledge that Confidential Information exchanged under this Job Specification shall remain the confidential property of the disclosing party. Confidential Information shall not be disclosed to third parties except as required for performance and shall be protected with at least the same degree of care as the receiving party uses to protect its own confidential information, but not less than reasonable care.

Acceptance, Termination & Liability

Deliverables shall be deemed accepted upon written confirmation by Client following completion of the acceptance testing period specified in the acceptance criteria. Either party may terminate this Job Specification for material breach if the breach remains uncured for a period of thirty (30) days after written notice. In no event shall either party's liability for direct damages exceed the aggregate amount paid under this Job Specification in the six (6) months preceding the claim. Neither party shall be liable for consequential, incidental or punitive damages except for breaches of confidentiality or willful misconduct.

Governing Law & Dispute Resolution

This Job Specification shall be governed by the laws of the jurisdiction identified below, without regard to conflict of law principles. The parties shall first attempt to resolve any dispute through good faith negotiation; if unresolved, disputes shall be resolved through binding arbitration unless the parties agree otherwise in writing.
