What a Project Management Joint Venture Agreement Is

A Project Management Joint Venture Agreement is a legally binding contract used when two or more parties join forces to manage and deliver a specific project. The agreement defines each party's role, scope of services, capital or resource contributions, profit and loss sharing, governance structure, decision-making processes, and duration. It also allocates liability, specifies insurance and indemnity obligations, and sets dispute resolution and termination procedures. For projects involving regulated activities, the agreement establishes compliance responsibilities and recordkeeping expectations so the joint venture operates transparently and consistently.

Why a Clear Joint Venture Agreement Matters

A precise agreement reduces ambiguity about responsibilities, financial commitments, and risk allocation, which lowers dispute risk and supports regulatory compliance.

Why a Clear Joint Venture Agreement Matters

Who Typically Prepares and Signs These Agreements

Parties and professionals who commonly prepare or sign a Project Management Joint Venture Agreement include business owners, contractors, and project sponsors.

  • General contractors and subcontractors forming a joint delivery team for a single project or portfolio.
  • Real estate developers and property managers collaborating on development or redevelopment projects.
  • Professional services firms and consultants creating a temporary joint entity to provide project management.

Advisors involved often include corporate counsel, tax advisors, and project finance specialists to ensure enforceability and proper tax classification.
