What the Project Management Lease Resolution Is

Project Management Lease Resolution is a formal written resolution used by project owners, managers, boards, or stakeholders to record authorization of actions related to a lease in a project setting. Common purposes include approving lease execution, amending lease terms, authorizing assignment or sublease, or documenting a negotiated settlement of lease obligations. The resolution specifies who has authority to sign, the effective date, and any conditions or exhibits that implement the decision. When permitted, the resolution may be executed electronically in compliance with ESIGN and applicable state UETA or state electronic-records laws.

Why a Resolution Matters for Project Leases

A formal lease resolution provides a clear, auditable record that the responsible decision‑making body authorized lease actions, reducing internal disputes and establishing the chain of authority.

Why a Resolution Matters for Project Leases

Who Typically Prepares and Signs These Resolutions

The resolution should identify the authorized signer(s) and their corporate title or delegated authority to avoid later challenges to enforceability.

  • Corporate boards and executive teams approving strategic lease commitments during project planning or financing.
  • Property managers and facilities directors documenting operational approvals, amendments, or assignments for project sites.
  • Legal counsel and contract managers preparing resolution language and confirming compliance with governing law.

Primary Signer Profiles

Project Owner

Chief operating officers or authorized signatories who approve lease strategy and financial commitments. The resolution should reference board minutes or delegation authorities establishing that signatory power.

Property Manager

Facilities or asset managers who administer lease terms day-to-day and who may be delegated authority to execute amendments, notices, or administrative leases under the resolution.

Core Parts of a Professional Lease Resolution

A well-drafted Project Management Lease Resolution uses consistent structure so stakeholders can locate authority, dates, and implementing actions quickly.

Resolution Title

Clear name that identifies the lease, project, and the action being authorized, so records and indexes can locate it efficiently.

Recitals

Background facts describing the lease, project context, previous approvals, and reasons for the resolution to show purpose and foundation.

Resolved Clauses

Concrete authorizations (execute, amend, assign) with precise descriptions of authority limits, dollar thresholds, and conditions precedent.

Authority Statement

Specific delegation language naming persons or offices authorized to act and any board or committee ratification requirements.

Signature Block

Designated signature space for authorized persons, with printed name, title, and date to establish attribution and authentication.

Exhibits

Attached documents such as lease excerpts, amendment text, or site plans that the resolution incorporates by reference.

  • Project Records: Store in central project contract repository
  • Legal Counsel: Provide an executed copy for the legal file
  • Recording Office: Record only if lease instrument requires county recording

Typical Timing and Processing Expectations

Standard timelines depend on approvals, notarization needs, and whether recording is required; plan for internal and external lead times.

Board Approval:

Allow 1–3 weeks for scheduling and minutes

Legal Review:

Expect 3–7 business days for counsel review

Notarization:

Same‑day to 2 business days, depending on availability

Recording:

County recording can take 1–4 weeks

Distribution:

Digital copies delivered immediately after execution

Common Preparation Mistakes to Avoid

  • Using informal or inconsistent entity names that create ambiguity about the contracting party and delay enforcement.
  • Failing to reference or attach the exact lease exhibit or amendment text that the resolution intends to authorize.
  • Not specifying the limits of authority (dollar cap, term cap, or requirement for additional approvals), which prompts disputes.
  • Skipping notarization or witness steps when state law or the lease requires them, risking invalidation of certain filings.

Risks and Potential Consequences of Errors

Enforceability: Resolution may be challenged
Tax Exposure: Mischaracterized payments or reporting
Breach Liability: Unapproved lease changes create default risk
Recording Rejection: County may reject defective instruments
Notary Defect: Invalid notarial acts void certain filings
Dispute Costs: Increased litigation or settlement expenses
