Confidentiality

Each party shall maintain as confidential all proprietary information disclosed in connection with the licensed materials and the Project. Confidential information shall not be used except to perform obligations under this License and shall not be disclosed to third parties except with prior written consent or as required by law. The obligations of confidentiality survive termination of this License for a period of three (3) years.

Intellectual Property; License Grant

The Service Provider retains all right, title and interest in and to pre-existing intellectual property, methodologies, and proprietary templates. The Service Provider grants to the Client a limited, non-transferable license to use the licensed materials for the Project. Unless expressly stated otherwise, the license granted is non-exclusive and revocable in accordance with the Termination provisions below.

Warranties, Liability, and Indemnification

The Service Provider warrants that it has the right to grant the license described herein and that the licensed materials do not knowingly infringe third party intellectual property rights. EXCEPT FOR THE FOREGOING LIMITED WARRANTY, THE LICENSED MATERIALS ARE PROVIDED "AS IS" AND THE SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES. The Client shall indemnify and hold harmless the Service Provider from claims arising from Client modifications or uses outside the scope of this License.

Audit Rights and Compliance

The Service Provider may audit Client's use of the licensed materials upon reasonable notice to verify compliance with license terms. Such audits shall be conducted during normal business hours and shall be limited to information relevant to license compliance. The Client shall maintain records sufficient to verify compliance for a period of three (3) years.

Term and Termination

This License commences on the Project Start Date and continues until the expiration dates set forth for individual licensed items or until earlier termination as provided herein. Either party may terminate for material breach if such breach remains uncured for thirty (30) days after written notice. Upon termination, the Client shall cease all use of licensed materials and, unless otherwise agreed, destroy or return copies.

Severability: If any provision of this License is held unenforceable, the remainder shall remain in full force. Entire Agreement: This License constitutes the entire agreement between the parties with respect to the licensed materials and supersedes prior agreements.
