Health, Safety, Insurance, and Indemnity

Each party shall indemnify, defend and hold harmless the other party from claims arising out of its negligence or willful misconduct in connection with on-site activities. Limitation of liability:

Confidentiality

Each party shall maintain as confidential all proprietary information obtained on site and shall not disclose or use such information except as necessary to perform obligations under this Agreement. Confidential information excludes information that is or becomes publicly known through no fault of the receiving party, or is required to be disclosed by law.

Termination, Suspension, and Force Majeure

Either party may suspend or terminate work at the location for material breach if such breach is not cured within a specified cure period of days after written notice. Neither party shall be liable for delays caused by force majeure events, including but not limited to natural disaster, government action, or civil unrest, provided the affected party gives prompt notice and uses commercially reasonable efforts to resume performance.
