This Project Management Maintenance Agreement ("Agreement") is entered into between the Client named above and the Service Provider named above for ongoing project management, maintenance, and support services described herein. The parties intend that the Service Provider will perform maintenance and management services in accordance with the scope, service levels, schedule, and fees set forth in this Agreement.

Confidentiality

Each party shall maintain in confidence all Confidential Information disclosed by the other party and shall not disclose such information except to personnel with a need to know. Confidential Information does not include information that is publicly known through no breach of this Agreement, independently developed, or rightfully received from a third party. Remedies for breach include injunctive relief and recovery of damages.

Intellectual Property and License

Unless otherwise agreed in writing, Client retains ownership of Client-provided data and Client-owned deliverables. Service Provider retains ownership of pre-existing materials and tools. Service Provider grants Client a non-exclusive, worldwide, perpetual license to use deliverables solely for Client's internal business purposes after final acceptance and full payment.

Limitation of Liability and Indemnification

Except for breaches of confidentiality, wilful misconduct, or infringement claims, neither party's liability shall exceed the total fees paid under this Agreement in the preceding twelve months. Each party shall indemnify the other from third-party claims arising from the indemnifying party's negligent acts or willful misconduct, subject to the limitations set forth herein.

Term and Termination

This Agreement commences on the Effective Date and continues until terminated by either party upon thirty (30) days' written notice. Either party may terminate immediately for material breach not cured within fifteen (15) days after written notice. Upon termination Client shall pay Service Provider for all services performed and reasonable wind-down costs.

This Agreement shall be governed by and construed in accordance with the laws of the State of , exclusive of its conflict of laws principles.
