Confidentiality & Data Security

Each party shall treat as Confidential Information all non-public information disclosed in connection with this Agreement. Confidential Information shall not be disclosed to third parties except as required for performance and subject to confidentiality obligations no less protective than those herein.

Liability, Indemnification & Warranty

Provider warrants that services will be performed with reasonable skill and care in accordance with generally accepted industry standards. Except as expressly stated in this Agreement, services are provided "as is" and Provider disclaims all other warranties. Provider's liability for direct damages shall be limited to the fees paid under this Agreement in the twelve months preceding the claim. Neither party shall be liable for incidental, consequential, or punitive damages.

Each party agrees to indemnify, defend and hold harmless the other party from third-party claims arising from its gross negligence or willful misconduct in performance of this Agreement.

Termination

This Agreement may be terminated by either party upon written notice if the other party materially breaches this Agreement and fails to cure such breach within the cure period specified below.
