Late Payment: Overdue amounts shall accrue interest at a rate of until paid, and Client shall be responsible for reasonable collection costs.

Confidentiality

Each party shall treat all non-public information received from the other party in connection with this ICP as Confidential Information and shall not disclose such information except to its employees, contractors or advisors who have a need to know and are bound by confidentiality obligations no less restrictive than those herein. Confidential Information does not include information that was in the receiving party's possession prior to disclosure, becomes public through no fault of the receiving party, or is independently developed by the receiving party.

Confidentiality Duration: Confidential obligations shall continue for following termination or expiration of this ICP.

Governing Law and Dispute Resolution

This ICP shall be governed by the laws of the jurisdiction specified below without regard to conflict of law principles. Except as may be required for injunctive relief, disputes shall be resolved by negotiation and, if unresolved, by the dispute resolution procedure agreed by the parties.

Representations, Warranties and Limitation of Liability

Each party represents and warrants that it has the authority to enter into this ICP and that its performance will not violate any agreement or law. The Service Provider warrants that services will be performed with reasonable skill and care. Except for willful misconduct or gross negligence, the aggregate liability of either party for claims arising out of or relating to this ICP shall not exceed the total amounts paid under this ICP during the preceding twelve months.
