PAYMENT TERMS

Client shall pay Service Provider for project management services in accordance with the following payment schedule. All amounts are payable in United States dollars unless otherwise agreed in writing.

Payment is due within days of invoice. A late fee of % per month (or maximum permitted by law) will apply to past due balances.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until Completion Date: unless earlier terminated in accordance with this Section.

Either party may terminate for convenience upon written notice delivered not less than days prior to the intended termination date. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Client will pay Service Provider for all services performed and expenses incurred through the effective date of termination, together with any unpaid, non-cancelable commitments made by Service Provider for the Project.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in connection with this Agreement, including but not limited to schedules, pricing, technical data, business plans and trade secrets. Each party shall (a) hold Confidential Information in strict confidence, (b) not disclose such information to third parties except to employees, consultants, or subcontractors with a need to know, and (c) use Confidential Information solely for performance of this Agreement. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years.

CHANGE CONTROL

All requests to change the Master Schedule, scope, or compensation must be submitted as written Change Requests. No change shall be effective unless approved in writing by authorized representatives of both parties. Approved changes will be incorporated by amendment to the Master Schedule and may adjust price, schedule, and responsibilities as appropriate.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

This Agreement, including its Schedules and exhibits and any written amendments executed by the parties, constitutes the entire agreement between the parties concerning the Project and supersedes all prior negotiations, representations or agreements, whether written or oral. No amendment shall be binding unless executed in writing by both parties.

MISCELLANEOUS PROVISIONS

Relationship of Parties: Service Provider is an independent contractor and not an employee, partner or joint venturer of Client. Nothing in this Agreement shall be construed to create an employer-employee relationship.

Limitation of Liability: Except for liability resulting from gross negligence or willful misconduct, the aggregate liability of either party arising out of or relating to this Agreement shall not exceed the total amount paid to Service Provider under this Agreement during the twelve (12) month period preceding the claim.
