Project Identification

Scope of Work

The Service Provider shall furnish all labor, materials, equipment, supervision and coordination necessary to perform the mechanical work described below. Work shall include, but not be limited to, design review, calculations, fabrication oversight, field installation, testing, balancing and startup assistance as specified.

Deliverables and Acceptance Criteria

The Service Provider shall deliver the items listed below. Each deliverable is subject to the acceptance procedure set forth in the Acceptance and Testing clause. Unless otherwise noted, acceptance shall be based on conformance to specified performance criteria and absence of material defects.

Timeline & Milestones

The parties agree to the project schedule set forth below. Time is of the essence for all milestone dates unless otherwise extended by written change order.

Budget & Payment

Compensation for the scope described shall be as stated below. All fees are exclusive of applicable taxes unless stated otherwise. Changes affecting price shall be governed by the Change Order Process.

Invoices unpaid beyond 30 days shall accrue interest at the lesser of 1.5% per month or the maximum permitted by law. Client may withhold amounts disputed in good faith, provided the Client notifies the Service Provider in writing with reasons for the dispute within 15 days of invoice receipt.

Insurance, Indemnity & Liability

The Service Provider shall maintain insurance customary for mechanical construction and professional services, including commercial general liability, workers' compensation, and professional liability coverage. Certificates evidencing coverage shall be provided upon request.

The Service Provider shall indemnify, defend and hold harmless the Client from and against third-party claims arising out of Service Provider's negligent performance, breach of this agreement, or willful misconduct, except to the extent caused by Client's negligence or breach.

Except for indemnity obligations or willful misconduct, neither party shall be liable to the other for consequential, incidental or punitive damages. The aggregate liability of either party for any claim arising from this agreement shall not exceed the total amount paid under this agreement for the referenced scope, unless otherwise agreed in writing.

Acceptance, Testing & Warranty

Deliverables and completed work shall be subject to inspection, testing and formal acceptance procedures. The Client shall provide written acceptance or a written list of deficiencies within 14 days of receiving a deliverable. The Service Provider shall remedy accepted deficiencies in a timely manner at no additional cost unless caused by factors outside the Service Provider's control.

Confidentiality

Each party agrees that Confidential Information disclosed by the other party shall be used solely for performance of this agreement and shall not be disclosed to third parties except to employees, consultants or subcontractors on a need-to-know basis who are bound by obligations of confidentiality. This obligation shall survive termination for a period of three years, except for trade secrets which shall remain protected for as long as they meet statutory criteria.

Force Majeure & Termination

Neither party shall be liable for delay or failure to perform caused by events beyond reasonable control (force majeure). Either party may terminate for material breach if the breach is not cured within 30 days after written notice. The Client may terminate for convenience upon 30 days written notice and payment for work performed and materials committed through the termination date.

Governing Law & Dispute Resolution

This Agreement shall be governed by the substantive laws of the state identified below without regard to conflict of law principles. The parties agree to attempt to resolve disputes in good faith through negotiation. If unresolved, disputes shall be subject to arbitration or litigation as selected by the Client in the state and county specified.

Miscellaneous Provisions

This document, together with any executed change orders, constitutes the entire agreement between the parties with respect to the subject matter. No amendment is effective unless in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remainder of the agreement remains in effect.
