Acceptance, Warranties & Liability

Acceptance: Client shall have seven (7) business days following delivery of a deliverable to provide written notice of acceptance or specific deficiencies. Absent timely written notice, the deliverable shall be deemed accepted.

Warranty: The Service Provider warrants that services will be performed in a professional manner consistent with industry standards for similar projects. Except as expressly stated, no other warranty, express or implied, is made.

Limitation of Liability: Except to the extent prohibited by law, the Service Provider's total liability arising out of or related to this Proposal shall not exceed the total fees paid by Client to Service Provider under this Proposal. In no event shall either party be liable for consequential, incidental, or special damages.

Confidentiality & Intellectual Property

Confidential Information disclosed in connection with this Proposal shall be held in confidence by the receiving party and used solely for performance of the services. Confidential Information does not include information that is publicly known or independently developed.

Intellectual Property: Subject to Client's payment in full, ownership of final design deliverables prepared specifically for the Project shall transfer to Client. The Service Provider retains ownership of background intellectual property, methodologies, and tools used in delivering the services.

Termination

Either party may terminate this Proposal upon written notice if the other party materially breaches and fails to cure within the notice period. Upon termination, Client shall pay Service Provider for work performed to the termination date, including reimbursable expenses incurred.

This Proposal shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles.

Additional Provisions

Force Majeure: Neither party shall be liable for delays caused by events beyond its reasonable control. The delayed party shall provide prompt notice of such event and use reasonable efforts to mitigate its effects.
