Confidentiality

Each party acknowledges that the other may disclose confidential information. The receiving party shall maintain confidentiality, use information solely for performance under this Agreement, and not disclose it to third parties except as required for performance or by law. Confidential information excludes information that is public, rightfully received from a third party, or independently developed.

Intellectual Property

All design documents prepared by the Service Provider remain its instruments of service. Upon full payment, the Client is granted a non-exclusive license to use final design documents for construction and operation of the described project. The Service Provider retains the right to reuse general design concepts, software, and standard details not unique to the project.

Liability, Indemnification & Insurance

The Service Provider shall indemnify and hold the Client harmless from claims arising from negligent acts, errors or omissions in the performance of professional services, subject to applicable limits and exclusions. Neither party shall be liable for consequential damages. The Service Provider shall maintain professional liability insurance and provide proof of coverage upon request.

Termination

Either party may terminate this Agreement for cause if the other party fails to cure a material breach within the notice period below. The Client may terminate for convenience upon written notice; compensation will be paid for services performed and costs incurred to the termination effective date.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, acts of government, strikes, or material shortages. The affected party shall provide prompt notice and take reasonable steps to mitigate delay.

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction indicated below, without regard to conflict-of-law principles.

Acceptance Testing & Warranty

Final deliverables shall be subject to Client review. Notice of nonconformance must be provided in writing within 15 days of delivery unless otherwise agreed. The Service Provider warrants that design services shall be performed in a professional manner consistent with industry standards for a period specified below.

Miscellaneous Provisions

Entire Agreement: This document, together with any referenced exhibits, constitutes the entire agreement between the parties and supersedes prior negotiations. Amendments must be in writing and signed by both parties. Notices shall be delivered to the addresses set forth in this Agreement.
