Change Order Process

Any change to scope, schedule or price shall be executed only by a written Change Order signed by both parties. The Change Order shall describe the change, the impact on cost, the impact on schedule, and any required approvals. Emergency changes required for safety or code compliance shall be documented and approved as soon as practicable.

Confidentiality

Each party shall maintain the confidentiality of proprietary information disclosed in connection with this Agreement. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law. Confidentiality obligations shall survive termination for the period specified below.

Liability, Insurance & Indemnity

The Service Provider shall maintain insurance customary for MEP contractors, including general liability, professional liability and worker's compensation. The Provider shall indemnify and hold harmless the Client from claims arising out of Provider's negligence or willful misconduct, subject to limits agreed by the parties. Neither party shall be liable for indirect, special or consequential damages except for gross negligence or willful misconduct.

Termination

Either party may terminate for cause if the other party materially breaches and fails to cure within the notice period specified in the Agreement. Upon termination for convenience by the Client, the Provider shall be entitled to payment for work performed and reasonable demobilization costs, subject to offsets for defective work or other contract remedies.

Governing Law & Dispute Resolution

This Agreement shall be governed by the substantive laws of the state identified below without regard to its conflict of law rules. Parties agree to attempt good-faith negotiation and non-binding mediation prior to initiating litigation, unless an emergency remedy is required.

Acknowledgement

By signing below, the parties acknowledge they have read, understand, and agree to be bound by the terms set forth in this Project Management MEP Document. This document, together with any executed Change Orders, constitutes the entire agreement between the Client and the Service Provider with respect to the MEP services described herein.
