Budget & Payment Terms

All changes to the Scope of Work must be documented in a written change order signed by authorized representatives of both parties. Change orders shall describe scope change, cost impact and schedule impact. Work performed without a mutually executed change order will be billed at the Service Provider's standard rates but may be disputed by the Client.

Insurance, Indemnity & Liability

The Service Provider shall maintain commercial general liability, professional liability and workers' compensation insurance as required by law and contract. The Service Provider agrees to indemnify and defend the Client against claims arising from the Service Provider's negligence, willful misconduct, or breach of this Agreement. Except for claims arising from gross negligence or willful misconduct, neither party's liability for direct damages shall exceed the total fees paid under this Proposal for the impacted scope.

Confidentiality

Each party shall treat as confidential all non-public information of the other party disclosed in connection with this Proposal. Confidential information shall not be disclosed to third parties except to employees, contractors or consultants who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein. Confidentiality obligations survive termination of this Proposal for a period of three (3) years.

Termination

Either party may terminate this Proposal for material breach if the breach is not cured within thirty (30) days after written notice. Upon termination for convenience by the Client, the Service Provider shall be paid for services performed and documented expenses through the effective date of termination plus reasonable demobilization costs.

Governing Law & Dispute Resolution

This Proposal shall be governed by the laws of: . Disputes shall be resolved first by good faith negotiation, then by mediation, and if unresolved, by binding arbitration in accordance with the governing law.

Acceptance Procedures

Acceptance of completed work is documented by written notice from the Client identifying acceptance or enumerating deficiencies. Final payment is contingent upon receipt of all required closeout documentation including as-built drawings, O&M manuals, commissioning reports, and warranties listed in the Deliverables section.

Representations & Warranties

The Service Provider represents that it is properly licensed and qualified to perform the services described and that services will be performed in a professional and workmanlike manner consistent with industry standards. The Client represents that it has authority to retain the Service Provider and to authorize the work described herein.

Acknowledgement

By signing below, the parties acknowledge and agree that this Proposal, when signed by both parties, constitutes the full statement of the agreement between the Client and the Service Provider with respect to the services described. Any prior agreements or understandings, whether written or oral, are superseded.
