Project Identification

Scope of Work

This Project Management Metadata Delivery (the "Delivery") documents the obligations of the Service Provider to deliver metadata artifacts, instrumentation, and associated documentation for the project identified above. The Provider shall perform the services described in the Scope of Work below in a professional manner, consistent with industry standards and the project schedule.

Deliverables and Acceptance Criteria

The following deliverables shall be produced and submitted to the Client. Each deliverable will include documentation, metadata schema files, and any agreed tool-specific exports. Deliverables are subject to the Acceptance Testing procedure set forth below.

Timeline & Milestones

Project schedule and milestone dates below constitute the timeline for delivery and acceptance. Time is of the essence for milestone delivery unless otherwise mutually agreed in writing.

Budget & Payment

The Client shall pay the Provider the amounts set forth below in exchange for the deliverables and services. All payments are due upon receipt of a properly submitted invoice, except as provided in the payment schedule. Taxes, if any, are the responsibility of the Client.

Change Order Procedure

Any modification to the Scope of Work, deliverables, schedule, or fees must be documented in a written Change Order. The Change Order shall describe the requested change, the effect on schedule and cost, and must be signed by authorized representatives of both parties prior to implementation. The Provider shall not be required to implement changes without an executed Change Order.

Acceptance Testing

Upon delivery of each item, the Client will perform acceptance testing in accordance with the acceptance criteria listed for that deliverable. The Client shall provide written notice of acceptance or a detailed list of deficiencies within calendar days of receipt. If deficiencies are reported, the Provider will remedy them within a mutually agreed remediation period.

Confidentiality and Data Protection

Each party shall treat as confidential all non-public information disclosed in connection with this Delivery. Confidential information shall not be disclosed to third parties except as required by law or as necessary for performance of the services. The confidentiality obligation shall survive for years following termination or completion of this Delivery.

Intellectual Property and Deliverable Ownership

Unless otherwise agreed in writing, the Client will receive a perpetual, non-exclusive license to use the delivered metadata artifacts and documentation for the Client's internal purposes upon full payment of amounts due. Provider retains ownership of Provider pre-existing materials and general know-how. Any transfer of source code or proprietary tooling requires explicit written assignment.

Warranties; Limitation of Liability

The Provider warrants that deliverables will materially conform to the acceptance criteria for a period of 30 days after acceptance. EXCEPT FOR THE FOREGOING WARRANTY, THE SERVICES ARE PROVIDED "AS IS" AND PROVIDER DISCLAIMS ALL OTHER WARRANTIES. IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING FROM THIS DELIVERY EXCEED THE TOTAL AMOUNTS PAID TO THE PROVIDER UNDER THIS DOCUMENT.

Termination

Either party may terminate this Delivery for material breach by the other party if the breaching party fails to cure the breach within 30 days after receipt of written notice. Upon termination, the Client shall pay for all work performed up to the effective date of termination and Provider shall deliver any completed deliverables.

Governing Law

This Delivery shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

Representations and Certifications

By signing below, each party represents that (a) it has full power and authority to enter into this Delivery; (b) the signatory is authorized to bind the party; and (c) to the best of its knowledge, the performance of its obligations will not violate any applicable agreement or law.
