Intellectual Property

Unless otherwise agreed in writing, the Service Provider grants to the Client a perpetual, worldwide, royalty-free license to use deliverables solely for the Client's internal business purposes. Pre-existing intellectual property of either party remains the sole property of that party.

Warranties, Liability and Indemnity

The Service Provider warrants that services will be performed with reasonable care and skill. EXCEPT AS EXPRESSLY SET FORTH IN THIS STATEMENT OF WORK, ALL OTHER WARRANTIES ARE DISCLAIMED. Neither party's aggregate liability for direct damages arising from this Statement of Work shall exceed the total fees paid by the Client under this Statement of Work. Each party agrees to indemnify the other for claims arising from the indemnifying party's negligence or willful misconduct.

Termination

Either party may terminate this Statement of Work for material breach upon thirty (30) days' written notice if the breach is not cured. Upon termination, the Client shall pay for all work performed and reasonable wind-down costs as of the effective date of termination.
