Confidentiality

Each party shall maintain in confidence all Confidential Information received from the other party and shall not disclose such information except to employees, contractors, or advisors who have a need to know and who are subject to confidentiality obligations no less protective than those herein. Confidential Information does not include information that is publicly known without breach, independently developed, or rightfully received from a third party.

Term of confidentiality obligations: years from disclosure or termination of this Agreement, whichever is later.

Intellectual Property

Unless otherwise agreed in a written schedule attached hereto, Service Provider assigns to Client all right, title and interest in Deliverables created specifically for Client under this Agreement. Service Provider retains ownership of its pre-existing materials and tools; Client is granted a limited license to any such background materials only to the extent necessary to use the Deliverables.

Representations, Liability & Indemnity

Each party represents that it has authority to enter this Agreement. Service Provider shall perform services with commercially reasonable skill and care. Neither party shall be liable for indirect, incidental, consequential, or punitive damages except for breaches of confidentiality, gross negligence, or willful misconduct. Each party agrees to indemnify and hold harmless the other for claims arising from its negligence, breach of this Agreement, or violation of law.

Termination

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within thirty (30) days after written notice. Either party may terminate for convenience upon sixty (60) days written notice. Upon termination Client shall pay for Services performed and approved Deliverables through the effective date of termination and for any non-cancellable commitments reasonably incurred by Service Provider.

Force Majeure

Neither party shall be liable for delay or failure to perform due to causes beyond its reasonable control, provided that the affected party gives prompt written notice and uses commercially reasonable efforts to resume performance.

Dispute Resolution & Governing Law

The parties shall attempt in good faith to resolve disputes through negotiation between executives. If unresolved within forty-five (45) days, disputes shall be submitted to binding arbitration conducted under the rules selected by the parties. Governing law for all disputes shall be: .

Miscellaneous
