Change Order Process

Any change to scope, schedule, or cost shall be implemented only by a written Change Order executed by authorized representatives of both parties. The Change Order shall describe the change, impact to schedule, and the price or rate adjustments. No work performed in excess of the agreed scope will be billable unless a Change Order has been executed in advance.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed in connection with this Offer and the performance of services. Confidential information shall not include information that is publicly known through no breach of this Offer, already known by the recipient without restriction, or independently developed without reference to confidential materials. Confidentiality obligations survive termination for a period of three (3) years.

Intellectual Property

Unless otherwise agreed in writing, the Service Provider grants the Client a non-exclusive, perpetual, worldwide license to use deliverables created under this Offer for the Client’s internal business purposes. Pre-existing materials, tools, methodologies, and know-how of the Service Provider remain the Service Provider’s sole property.

Limitation of Liability & Indemnity

Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, special, or punitive damages. Each party agrees to defend and indemnify the other against third-party claims arising from that party’s breach of this Offer or negligent acts in performance.

Termination

Either party may terminate this Offer for material breach if the breach remains uncured thirty (30) days after written notice. Upon termination, the Client will pay for all services performed and reasonable costs incurred up to the termination date.

Governing Law

This Offer shall be governed by and construed in accordance with the laws of: , without regard to conflict of law principles.
