  I acknowledge that change orders must be submitted in writing and approved by the Project Manager and that additional fees may apply.

Insurance, Compliance, and Safety

The Service Provider shall maintain and provide evidence of insurance coverage including, at minimum, commercial automobile liability coverage, workers' compensation as required by law, and general liability coverage sufficient to cover activities under this Contract. The Service Provider will comply with all safety, licensing, and regulatory requirements applicable to driver operations and vehicle maintenance. The Service Provider shall promptly notify the Client of any incident, claim, or regulatory action that could affect performance.

Confidentiality

Each party shall maintain the confidentiality of proprietary information disclosed in connection with the Project and shall not use such information except as necessary to perform obligations under this Contract. Confidential information does not include information that is publicly available through no breach of this Agreement or that is required to be disclosed by law, in which case the disclosing party shall provide prompt notice to the other party.

Indemnification and Liability

The Service Provider agrees to indemnify, defend, and hold harmless the Client and its agents from claims, losses, damages, and expenses arising from the Service Provider's negligent acts, omissions, or willful misconduct in the performance of services. Liability for direct damages shall be limited to the total amount paid to the Service Provider under this Contract, except in cases of gross negligence or willful misconduct.

Termination

Either party may terminate this Contract for material breach if the breaching party fails to cure within ten (10) days after written notice. The Client may terminate for convenience upon seven (7) days' written notice and shall pay the Service Provider for work performed and reasonable demobilization costs through the termination date.

Governing Law and Dispute Resolution

This Contract shall be governed by and construed in accordance with the laws of the jurisdiction specified below. The parties agree to attempt good faith negotiations to resolve disputes, and if unresolved, disputes shall be resolved by arbitration conducted in the chosen jurisdiction in accordance with its rules for commercial arbitration.

All notices under this Contract must be in writing and delivered to the addresses provided above or to such other address as each party may designate in writing. Notices are effective upon receipt.

Miscellaneous

This Contract constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements. Amendments must be in writing and signed by both parties. If any provision is found unenforceable, the remainder will remain in effect.
