Confidentiality

Each party shall treat all proprietary or confidential information disclosed by the other party as confidential and shall not disclose such information except as required by law. Confidential information shall be used solely for the performance of this Project Management Package. Confidentiality obligations shall survive termination for a period of three (3) years.

Liability, Indemnity & Termination

The Service Provider shall indemnify and hold harmless the Client for claims arising from the Service Provider’s gross negligence or willful misconduct. Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, each party’s aggregate liability for direct damages shall be limited to the total fees paid under this Package. Either party may terminate this Package for material breach that remains uncured for thirty (30) days after written notice.

Intellectual Property

Unless otherwise agreed in writing, the Client shall own final deliverables produced specifically for the Client upon full payment. The Service Provider retains ownership of pre-existing tools, templates and methodologies and grants the Client a non-exclusive, non-transferable license to use such materials embedded in the deliverables solely for the Client’s internal purposes.

Governing Law

This Project Management Package shall be governed by and construed in accordance with the laws of the state identified below, without regard to conflict of laws principles.
