The Service Provider warrants that all materials used will be new and conform to the specifications provided. Manufacturer data sheets and material safety data sheets (MSDS) shall be provided for all coatings and solvents prior to use when requested.

Insurance, Indemnity and Liability

The Service Provider shall maintain insurance coverage in amounts sufficient for the scope of the work, including but not limited to commercial general liability, automobile liability, and workers' compensation. The Service Provider shall indemnify and hold harmless the Client from claims arising out of the Service Provider's negligence, willful misconduct, or breach of this Plan, except to the extent caused by the Client's negligence.

Confidentiality

Both parties acknowledge that certain information exchanged in connection with this Painting Plan may be confidential. Each party shall protect confidential information received from the other with at least the same degree of care it uses to protect its own confidential information and shall not disclose it to third parties except as required by law or as necessary to perform obligations under this Plan.

Governing Law and Dispute Resolution

This Painting Plan shall be governed by and construed in accordance with the laws of the jurisdiction specified below. Disputes arising under or in connection with this Plan shall be resolved by negotiation between the parties; if unresolved, the parties may pursue litigation or arbitration as agreed in writing.

Termination and Force Majeure

Either party may terminate this Plan for material breach if such breach remains uncured after a reasonable cure period following written notice. Neither party shall be liable for delays or failures to perform resulting from causes beyond its reasonable control, including acts of God, strikes, governmental actions, or severe weather, provided notice is provided promptly and the affected party uses commercially reasonable efforts to mitigate impacts.

Miscellaneous Provisions

This Painting Plan, together with any referenced attachments and approved change orders, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes prior negotiations and proposals. Amendments must be executed in writing and signed by authorized representatives of both parties.
