This Agreement is entered into by and between Client and Service Provider for the provision of project management services described below. Defined terms used in this Agreement have their ordinary and customary meaning under the circumstances and, where capitalized, shall be defined herein.

Change Control and Variation

All change requests must be submitted in writing and approved by authorized representatives of both parties. Approved change orders shall include scope, schedule impact, and any adjustment to fees.

Confidentiality and Intellectual Property

Each party acknowledges that during the performance of this Agreement it may receive Confidential Information of the other party. Confidential Information shall be used solely to perform obligations under this Agreement and shall not be disclosed except to those employees or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein.

Unless otherwise agreed in writing, Service Provider assigns to Client all deliverable-specific intellectual property created exclusively for Client under this Agreement upon full payment. Service Provider retains ownership of its general methodologies, know-how, tools, and pre-existing materials; Client is granted a non-exclusive, non-transferable license to use such pre-existing materials only as incorporated into the deliverables.

Liability, Indemnity and Insurance

Each party shall indemnify and hold harmless the other from claims arising out of its breach of this Agreement, negligence, or willful misconduct. Except for indemnification obligations and breaches of confidentiality or willful misconduct, neither party's liability for direct damages shall exceed the total fees paid under this Agreement for the applicable Work Order. In no event shall either party be liable for indirect, incidental, special, or consequential damages.

Termination and Suspension

Either party may terminate this Agreement for material breach if the breach is not cured within thirty (30) days following written notice. Client may suspend work for convenience upon written notice; applicable fees for work performed and reasonable demobilization costs shall be payable. Termination rights, wind-down obligations, and surviving provisions are set forth herein.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the jurisdiction of the Client's principal place of business unless otherwise agreed in writing. The parties agree to attempt in good faith to resolve disputes by escalation to senior management, and thereafter through mediation before commencing litigation or arbitration.

Representations, Warranties and Certifications

Each party represents that it has the full power and authority to enter into this Agreement and that performance of its obligations will not violate any agreement with third parties. Service Provider warrants that deliverables will materially conform to the acceptance criteria for a period of thirty (30) days following acceptance unless otherwise specified.

Notices

Notices under this Agreement shall be delivered to the addresses set out in this Agreement or to such other address as a party may designate by written notice. Notices shall be effective upon receipt.

Miscellaneous

This Agreement, together with any executed Work Orders or Change Orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes prior negotiations and understandings. Amendments must be in writing signed by authorized representatives of both parties. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
