Confidentiality

Each party will maintain the confidentiality of the other party’s proprietary information disclosed in connection with this SOW and will use such information only for performance under this SOW. Confidential information excludes information that is independently developed, already known, publicly available through no breach, or rightfully received from a third party without restriction.

Warranties, Liability & Indemnity

The Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT FOR THE EXPRESS WARRANTY SET FORTH IN THIS PARAGRAPH, SERVICES ARE PROVIDED AS IS. Each party’s aggregate liability for direct damages arising out of or related to this SOW shall be limited to the total fees paid under this SOW during the twelve (12) month period preceding the claim. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES.
