The parties acknowledge that Confidential Information may be exchanged in connection with Phase 1 activities. Each party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely for performance of this Phase 1 scope; and (c) not disclose Confidential Information to third parties except to employees, contractors, or advisors who have a need to know and are bound to at least equivalent confidentiality obligations. Confidential Information does not include information that is publicly known through no breach by the receiving party, received from a third party without restriction, or independently developed.

Warranties, Liability & Governing Law

Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards for the scope defined herein. Except for willful misconduct or gross negligence, each party's aggregate liability for claims arising under or related to this Phase 1 engagement shall be limited to direct damages not to exceed the total fees paid for Phase 1. Neither party shall be liable for consequential, incidental, special or punitive damages. This Phase 1 agreement shall be governed by the laws of the state specified below without regard to conflict of law principles.

Acceptance & Sign-Off Process

Deliverables are deemed accepted when Client provides written sign-off confirming that the deliverable satisfies the documented acceptance criteria. If Client rejects a deliverable, Client must provide written notice specifying deficiencies and Provider shall remedy deficiencies within the mutually agreed remedy period. Final acceptance shall not be unreasonably withheld.
