PROJECT MANAGEMENT PILOT PROGRAM CONTRACT

Project Identification

Recitals

Whereas Client desires to engage Service Provider to perform a limited-duration pilot program to evaluate project management services, and whereas Service Provider represents that it has the personnel and expertise necessary to perform the Pilot Program under the terms set forth in this Agreement, the parties agree as follows.

Scope of Work

Deliverables & Acceptance

Acceptance Testing Period: days following delivery of each deliverable. If Client provides written rejection citing nonconformity within the acceptance period, Service Provider shall, at its expense, correct the nonconformity and resubmit for acceptance conforming to the criteria above.

Budget & Payment

Invoices shall be submitted by Service Provider in accordance with the payment schedule above and are due within days of receipt unless otherwise stated. Late payments accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

Confidentiality

Each party shall maintain the confidentiality of the other party's Confidential Information and shall not disclose such information to third parties except as required to perform this Agreement. Confidential Information excludes information that: (i) is publicly known through no breach of this Agreement; (ii) is lawfully received from a third party without restriction; or (iii) is independently developed without use of Confidential Information. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years.

Intellectual Property & Data

All work product specifically created for Client under this Agreement shall be the property of Client upon full payment except where pre-existing Provider materials are embedded; Provider grants Client a non-exclusive, royalty-free license to any such pre-existing materials incorporated in the deliverables. Provider shall not use Client data except to perform under this Agreement and shall implement commercially reasonable security measures to protect Client data.

Liability, Indemnification & Insurance

Provider shall indemnify and hold Client harmless from third-party claims arising out of Provider's gross negligence or willful misconduct in performing services. Except for liability arising from gross negligence or willful misconduct, each party's aggregate liability under this Agreement will not exceed the total fees paid to Provider under this Agreement. Provider shall maintain insurance customary for the services performed and provide proof of such insurance upon Client's request.

Termination

Either party may terminate this Agreement for convenience upon days' prior written notice. Upon termination, Client shall pay Provider for all services performed and reasonable, documented costs incurred through the effective date of termination. Termination for material breach shall be effective immediately if the breaching party fails to cure within 15 days of written notice.

Force Majeure & Dispute Resolution

Neither party shall be liable for delay or failure to perform caused by circumstances beyond its reasonable control. The parties shall attempt in good faith to resolve disputes through escalation between project managers, then senior executives. Failing resolution within 30 days, disputes shall be resolved by binding arbitration in accordance with the rules mutually agreed by the parties. Costs of arbitration shall be borne as determined by the arbitrator.

Governing Law & Compliance

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. Each party shall comply with all applicable laws, rules and regulations in performing its obligations under this Agreement.

Reporting & Performance Metrics

General Provisions

Entire Agreement: This Agreement, including any attachments and executed change orders, constitutes the entire agreement between the parties relating to the Pilot Program and supersedes all prior agreements. Amendments must be in writing and signed by authorized representatives of both parties. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a sale of substantially all assets.

Notices shall be in writing and delivered to the addresses set forth above or to such other address as a party designates in writing. Delivery by email is permitted if the sender retains evidence of transmission and the recipient confirms receipt.

Acknowledgement

By signing below, each party represents and warrants that it has the authority to enter into this Agreement and that the person signing on its behalf is authorized to bind the party to the terms and conditions set forth herein.
