Confidentiality & Intellectual Property

Confidential Information means non-public information disclosed by one party to the other. Each party shall (a) maintain confidentiality of such information using at least the same degree of care as for its own confidential information, and (b) use such information only for the purposes of performing this Agreement. Confidentiality obligations survive termination for a period of three (3) years unless otherwise required by law.

Unless otherwise agreed in writing, intellectual property created specifically for Client under this placement shall be owned by Client upon full payment; Service Provider retains pre-existing methodologies, tools and general know-how.

Termination; Replacement; Refunds

Either party may terminate for material breach upon ten (10) days' written notice if the breach is not cured. Client may request replacement of the placed Project Manager within the first days; replacement terms and any pro-rata refund or credit will be governed by the parties' written fee schedule set forth above.

Liability and Indemnification

Each party shall indemnify, defend and hold harmless the other from third-party claims arising from the indemnifying party's gross negligence or willful misconduct. Except for indemnity and breach of confidentiality, each party's aggregate liability shall be limited to direct damages not to exceed the total fees paid under this Agreement in the twelve (12) months preceding the claim.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of without regard to conflict-of-law principles. Parties agree to negotiate in good faith to resolve disputes and, if unresolved, submit to binding arbitration in the agreed forum.

Representations, Warranties and Certifications

Each party represents that it has the full right, power and authority to enter into this Agreement and to perform its obligations. Service Provider represents that the placed Project Manager has the qualifications and authorization to perform the services described herein.

Acceptance

Client acceptance of deliverables shall occur in writing within days of delivery. Failure to provide written rejection with detailed reasons within that period will constitute deemed acceptance.
