WHEREAS Recitals

WHEREAS, Owner has engaged Project Manager to manage and coordinate works associated with the Room Update project described above, including but not limited to procurement, scheduling, quality control, and on-site supervision; and

WHEREAS, the parties desire to amend the existing Project Management Plan to document the specific scope, schedule, payment terms and confidentiality obligations applicable to the room update and to establish the rights and responsibilities of each party with respect to this update; and

WHEREAS, this Project Management Plan Room Update will control the management and administrative procedures for the work described herein and will supersede conflicting provisions of prior planning documents to the extent expressly provided in this update.

Confidentiality

Each party shall maintain in strict confidence all proprietary and non-public information disclosed by the other party in connection with this update, including project budgets, design documents, bid proposals, trade secrets, and any information designated as confidential. Confidential information shall not be used for any purpose other than performance under this update without prior written consent.

The obligations under this section do not apply to information that (a) becomes public other than by breach of this agreement; (b) is rightfully received from a third party without restriction; or (c) is required to be disclosed by operation of law, provided the disclosing party gives prompt written notice to the other party to permit the seeking of protective relief.
