Change Order Process: The parties agree that any alteration to the Scope of Work, deliverables, schedule or price shall be executed only by a written Change Order signed by authorized representatives of both parties. Change Order requests shall include a clear statement of the proposed change, impact on cost and schedule, and required approvals. Emergency changes may be initiated orally but must be documented and approved in writing within five (5) business days.

Quality, Testing & Acceptance

Testing, inspection and acceptance procedures shall be as set forth for each deliverable's acceptance criteria above. Acceptance shall be evidenced by written sign-off from the Client's authorized representative following successful demonstration of the acceptance criteria. If defects are identified, the Service Provider shall correct such defects at no additional charge where the defects are due to nonconformance with the agreed acceptance criteria.

Confidentiality

Each party shall treat as confidential all information disclosed by the other party that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not be used except to perform obligations under this agreement and shall not be disclosed to third parties without prior written consent, except as required by law. These obligations survive termination of the project for a period of three (3) years.

Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes through negotiation. If unresolved, disputes shall be resolved by arbitration or litigation as elected by the non-breaching party, subject to any mandatory statutory remedies.
