Confidentiality and IP

Confidential Information: Each party shall keep confidential all non-public information disclosed under this Template and shall use such information solely for the performance of obligations hereunder. Confidential information shall not include information that (a) is or becomes publicly available other than through a breach; (b) was rightfully in a receiving party's possession prior to disclosure; or (c) is independently developed.

Intellectual Property: Unless otherwise agreed in writing, the Client will own deliverables created specifically for the Client. The Service Provider retains ownership of pre-existing materials, tools, and methodologies and grants a non-exclusive license to the Client to use such materials solely as incorporated into the deliverables.

Liability, Termination, and Dispute Resolution

Limitation of Liability: Except for liability arising from gross negligence, willful misconduct or breach of confidentiality, neither party's aggregate liability for claims arising under this Template shall exceed the total fees paid to the Service Provider for the affected deliverable(s).

Termination: Either party may terminate an assigned work order for material breach if the breach is not cured within thirty (30) days after written notice. Termination of this Template requires written notice and is without prejudice to accrued rights and obligations.

Dispute Resolution: The parties shall attempt to resolve disputes in good faith. If unresolved within forty-five (45) days, disputes shall be resolved by arbitration or in courts located within the governing jurisdiction specified below.

Administrative Provisions

Notices: Notices, requests, and other communications shall be in writing and delivered to the addresses set forth in the Project Identification. A notice is effective upon receipt.

Representations and Certifications

Each party represents that it has the authority to enter into this Template and that execution and performance will not violate any agreement or law. The Service Provider certifies that personnel assigned possess the skill and qualifications to perform assigned work.
