Pre-Race Readiness Checklist (Declaration)

The parties hereby declare that, prior to the race commencement, the following items have been completed, approved or are otherwise in place. Check each applicable item to indicate completion.

Acceptance Procedure

Acceptance of each deliverable shall be evidenced by the Client’s written confirmation delivered within five (5) business days of delivery. If the Client provides written rejection specifying deficiencies, the Service Provider shall cure such deficiencies within the time period set forth by the parties. Absent timely rejection, the deliverable shall be deemed accepted.

Confidentiality, Liability, and Governing Law

Confidentiality: Each party shall maintain the confidentiality of the other party’s confidential information and use it solely for the purposes of performing obligations under this declaration. Confidential information excludes information that is publicly known through no breach by the receiving party or was independently developed.

Indemnity and Limitation of Liability: The Service Provider shall indemnify and hold harmless the Client from claims arising from the Service Provider’s gross negligence or willful misconduct in performance of the scope. Except for liability arising from gross negligence, willful misconduct, or indemnity obligations, neither party shall be liable to the other for consequential, incidental, or punitive damages, and aggregate liability shall be limited to the total amounts paid under the applicable project budget.

Force Majeure: Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, provided the affected party promptly notifies the other and uses commercially reasonable efforts to resume performance.

Governing Law: This declaration shall be governed by and construed in accordance with the laws applicable to the jurisdiction specified in the primary contract between the parties. In the absence of a primary contract, the governing law shall be the law selected by mutual written agreement of the parties prior to race commencement.

Amendment and Severability: This declaration may be amended only by written instrument signed by both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
