Confidentiality

Each party shall maintain in confidence all non-public information exchanged in connection with the Presentation Drawings. Confidential information shall not be disclosed except to employees, consultants, or contractors with a need to know and who are bound by confidentiality obligations no less protective than those in this document. The obligation of confidentiality survives termination of this agreement for a period of three years.

Intellectual Property

Upon full payment of amounts due for Presentation Drawings, the Service Provider grants the Client a non-exclusive, perpetual license to use the final presentation drawings for the project identified above. The Service Provider retains copyright in preliminary studies, working files, and underlying proprietary methods unless expressly transferred by separate written agreement. Reuse of drawings for other projects is prohibited without written consent and may incur additional fees.

Warranty; Limitation of Liability

The Service Provider warrants that services will be provided with reasonable care and skill in accordance with prevailing industry standards. EXCEPT AS EXPRESSLY SET FORTH IN THIS PARAGRAPH, ALL OTHER WARRANTIES ARE DISCLAIMED. IN NO EVENT WILL EITHER PARTY BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THE TOTAL LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT FOR THE PRESENTATION DRAWINGS.

Acceptance Procedure

Upon delivery of each deliverable, the Client shall have five (5) business days to inspect and either accept the deliverable or provide written notice of deficiencies. If no written notice is provided within the inspection period, the deliverable shall be deemed accepted. Notices of deficiencies must identify defects with sufficient detail to permit remediation. Remediation will be performed by the Service Provider within a commercially reasonable time at no additional charge if the deficiency results from failure to meet the stated acceptance criteria.

Governing Law & Notices

This Agreement shall be governed by the laws of the jurisdiction specified below, without regard to conflict of law principles. Any notice required or permitted under this Agreement shall be in writing and delivered to the addresses specified in this document.
