This Project Management Product Development Agreement (the Agreement) is entered into by the parties identified above on the Effective Date: . Budget & Payment

The Client shall pay the Service Provider the fees set forth below in accordance with the payment schedule. All amounts are stated in the currency specified in the invoice.

Late payments will accrue interest at the lesser of 1.5% per month or the maximum permitted by law. The Client is responsible for timely approval of payment milestones upon acceptance.

Change Order Procedure

Any change to scope, schedule, or budget shall be made only by a written change order signed by authorized representatives of both parties. The change order shall describe the change, the effect on schedule, the cost impact, and an adjusted acceptance criterion.

Confidentiality

Each party shall keep confidential all non-public information disclosed in connection with this Agreement and shall not use such information except to perform its obligations. Confidential information shall be retained for a period of years after disclosure, except to the extent a longer statutory period applies.

Intellectual Property

Unless otherwise agreed in writing, all work product created specifically for the Client under this Agreement ("Deliverables") shall be assigned to the Client upon full payment, and the Service Provider hereby irrevocably assigns all right, title and interest in such Deliverables to the Client. The Service Provider retains ownership of its pre-existing tools, methodologies, and background intellectual property. To the extent assignment is not effective, the Service Provider grants the Client a perpetual, worldwide, royalty-free license to use the Deliverables for Client's internal business purposes.

Warranties; Limitations of Liability

The Service Provider warrants that the Services will be performed in a professional manner consistent with industry standards. THE FOREGOING WARRANTY IS THE SOLE WARRANTY PROVIDED; ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW. Except for willful misconduct or gross negligence, each party's aggregate liability arising out of or related to this Agreement shall not exceed the total fees paid by the Client to the Service Provider under this Agreement. Acceptance Testing & Remedies

Client shall have days following delivery of each deliverable to perform acceptance testing in accordance with the acceptance criteria. If a deliverable fails acceptance testing, the Service Provider shall, at no additional cost, correct defects identified by the Client and resubmit the deliverable for acceptance within a commercially reasonable time.

Termination

This Agreement may be terminated by either party for material breach if the breaching party fails to cure the breach within days after written notice. Upon termination, the Client shall pay for Services performed and accepted deliverables through the effective date of termination. Sections concerning confidentiality, intellectual property, and limitation of liability survive termination.

Governing Law & Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. This Agreement constitutes the entire agreement between the parties with respect to its subject matter and may be modified only by a written instrument signed by authorized representatives of both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
