Recitals

This Agreement is entered into by and between the Client named above and the Service Provider named above for the provision of program-level project management services. The parties agree as follows:

Scope of Work

The Service Provider shall perform program management services including, but not limited to, project governance, schedule and resource coordination, risk and issue management, stakeholder reporting, change control administration, and acceptance facilitation. Work shall be performed in accordance with the terms and deliverables set forth below.

Deliverables and Acceptance

The Service Provider will deliver the deliverables described below. Each deliverable is subject to the acceptance procedures and criteria specified. Acceptance shall occur upon written confirmation by the Client or upon expiration of the acceptance period without material rejection.

Program Timeline & Milestones

The Service Provider shall maintain and update a program schedule reflecting milestones, dependencies and resource assignments. Material changes to the schedule require written approval under the Change Order Process.

Budget & Payment

Client shall pay the Service Provider the amounts set forth below in consideration for the services. All fees are exclusive of applicable taxes unless otherwise stated.

Payment terms: invoices are due within the payment period specified in the Payment Schedule. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

Change Order Process

Any change to scope, schedule, cost or deliverables shall be managed through a written Change Order signed by authorized representatives of both parties. No change is binding without execution of a Change Order.

Change Orders require written approval by both parties prior to the commencement of changed work.

Confidentiality

Each party shall treat the other party's confidential information as confidential and shall not disclose such information except as necessary to perform obligations under this Agreement. Confidentiality obligations survive termination for a period of three (3) years, except to the extent disclosure is required by law.

Intellectual Property

Unless otherwise agreed in writing, the Service Provider grants the Client a non-exclusive, transferable license to use deliverables for the Client's internal business purposes upon full payment. The Service Provider retains ownership of pre-existing materials and methodologies and grants only the rights necessary to use the deliverables.

Warranties; Limitation of Liability; Indemnity

The Service Provider warrants that services will be performed in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED, ALL WARRANTIES ARE DISCLAIMED. Neither party shall be liable for incidental or consequential damages. The aggregate liability of either party arising out of this Agreement shall not exceed the total fees paid by the Client to the Service Provider under this Agreement. Each party shall indemnify the other for third-party claims arising from its gross negligence or willful misconduct.

Termination

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for thirty (30) days following written notice. The Client may terminate for convenience upon sixty (60) days' written notice; in such case, the Client shall pay for all undisputed work performed through the effective date of termination and any agreed transition services.

Force Majeure; Compliance

Neither party shall be liable for delays or failures caused by events beyond its reasonable control. Each party shall comply with applicable laws and regulations in connection with performance under this Agreement.

Insurance

The Service Provider shall maintain insurance customary for providers of similar services including commercial general liability and professional liability coverages. Upon request, the Service Provider will provide certificates of insurance.

Dispute Resolution; Governing Law

The parties shall attempt to resolve disputes in good faith through escalation procedures and negotiation. If unresolved, disputes shall be resolved by binding arbitration in the state specified below, governed by the substantive laws of that state without regard to conflict of laws principles.

Reporting & Governance

The Service Provider will provide program status reports, risk and issue logs, and facilitate governance meetings at the frequency identified below.

Personnel; Substitution

The Service Provider shall assign personnel with appropriate qualifications. Substitution of key personnel requires prior written notice to the Client and the Client's reasonable approval, which shall not be unreasonably withheld.
