Either party may terminate this Project Add for material breach if the breaching party fails to cure within days after written notice. Either party may terminate for convenience upon days' prior written notice.

Confidentiality

Each party shall maintain in confidence all Confidential Information disclosed by the other party in connection with this Project Add and shall not disclose such Confidential Information to any third party except as required to perform the obligations herein. Confidential Information shall remain confidential for a period of years following termination or expiration.

Intellectual Property and Deliverables

Unless otherwise agreed in writing, Company grants Client a non-exclusive, non-transferable license to use deliverables for Client's internal business purposes. Ownership of pre-existing tools, methodologies, templates and Company intellectual property shall remain with Company.

Indemnity and Limitation of Liability

Each party agrees to indemnify the other for claims arising from its gross negligence or willful misconduct. Except for gross negligence or willful misconduct, neither party's aggregate liability shall exceed the amounts paid under this Project Add in the twelve (12) months preceding the claim.

Governing Law; Entire Agreement

This Project Add shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.
