The parties acknowledge that in the performance of this project they may exchange Confidential Information. Each party shall maintain confidentiality, restrict disclosure to personnel on a need-to-know basis, and use the information solely for performance of obligations under this form. Confidential Information shall not include information that is demonstrably in the public domain without breach by the receiving party, or received from a third party free to disclose.

Liability, Termination & Governing Law

Limitation of Liability: Except for willful misconduct or gross negligence, neither party will be liable for incidental, consequential, or punitive damages arising from this Project Addition Form. The aggregate liability of a party for direct damages shall be limited to the total fees actually paid under this Project Addition Form.

Termination: Either party may terminate this Project Addition Form for material breach if the breach remains uncured for thirty (30) days following written notice.
