Payment for work performed under this Extension shall be made in accordance with the revised payment schedule above. All amounts are exclusive of applicable taxes unless otherwise stated. Any amounts invoiced by Service Provider will be payable within the period specified in the Original Agreement, subject to acceptance of deliverables as set forth herein.

Except as expressly modified by this Extension, the Original Agreement remains in full force. Any additional changes in scope, schedule or budget arising after execution of this Extension shall be documented in a written change order signed by authorized representatives of both parties. Confidentiality

Each party shall continue to maintain in confidence all confidential information received from the other party in connection with the Project. Confidential information shall be used solely for performance of obligations under the Original Agreement and this Extension. The obligations of confidentiality shall survive termination or expiration of the Original Agreement and this Extension for a period of three (3) years, except where a longer period is required by applicable law.

Warranties; Limitation of Liability

Service Provider warrants that services performed under this Extension will be provided with reasonable skill and care in accordance with industry standards. Except as expressly set forth in this Extension, all warranties, whether express or implied, are disclaimed to the fullest extent permitted by law. Neither party shall be liable for indirect, incidental or consequential damages arising out of this Extension, and aggregate direct liability shall be limited as set forth in the Original Agreement.

Miscellaneous
