CHANGE ORDER PROCEDURE

Change orders for work outside of the agreed Scope of Work require written approval from both parties. Change orders shall identify the changed scope, price impact, and schedule impact. The following standard rates and approval thresholds apply.

CONFIDENTIALITY

Each party agrees to hold in confidence all confidential information disclosed by the other party in connection with this engagement. Confidential information does not include information that is or becomes publicly known through no fault of the receiving party, or which is independently developed without use of the confidential information. The obligations in this section survive termination of this Proposal for the period specified below.

LIABILITY, INDEMNIFICATION AND INSURANCE

Service Provider's total liability for any claim arising out of this Proposal shall not exceed the total fees paid by Client to Service Provider under this Proposal. Each party shall indemnify and hold harmless the other from third-party claims arising from its gross negligence or willful misconduct. Service Provider shall maintain commercially reasonable professional liability insurance during the term of this engagement.

TERMINATION

Either party may terminate this Proposal for convenience upon written notice to the other party. Upon termination Client shall pay for services performed and expenses incurred up to the effective date of termination. Parties agree to cooperate to wind down work in an orderly manner.

GOVERNING LAW

This Proposal shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of laws principles.
