Each party acknowledges that during performance it may receive Confidential Information of the other party. Confidential Information means non-public business, technical, financial, or other information marked confidential or that a reasonable person would understand to be confidential. The receiving party shall: (a) use Confidential Information solely to perform obligations under this Proposal; (b) restrict disclosure to employees, contractors, or advisors with a need to know and ensure they are bound by confidentiality obligations at least as protective as those herein; and (c) take reasonable measures to prevent unauthorized disclosure. Confidential Information does not include information that is: publicly known through no breach by the receiving party, already known by the receiving party without obligation of confidentiality, independently developed without use of the disclosing party’s Confidential Information, or required to be disclosed by law or valid legal process, provided notice is given, where permitted, to allow protective measures.

Liability, Warranty & Governing Law

Service Provider warrants that services will be performed in a professional manner consistent with industry standards. Except as expressly provided, all other warranties are disclaimed to the maximum extent permitted by law. Each party’s aggregate liability for claims arising out of or related to this Proposal shall be limited to direct damages up to the total amount paid under this Proposal during the twelve (12) months preceding the claim; neither party shall be liable for incidental, special, or consequential damages. This Proposal shall be governed by the laws of the state identified below, without regard to its conflicts-of-law rules.

Deliverables will be accepted when Client provides written acceptance or fails to provide written rejection citing specific non-conformities within ten (10) business days after delivery. Rejections shall specify the basis and the Provider shall have a reasonable opportunity to cure. Any changes to scope, schedule, or fees shall be documented in a written change order signed by authorized representatives of both parties prior to commencing work under the change.
