Acceptance Procedure: Client shall conduct acceptance testing within days of delivery. Acceptance is deemed granted if Client does not provide a written list of defects within that period. The Service Provider shall remedy defects identified in accordance with the Change Order process.

Late Payments: Amounts unpaid after days will accrue interest at a rate of per annum, to the extent permitted by law.

Intellectual Property & Prototype Ownership

Ownership of prototype artifacts, underlying code, and documentation shall be governed as set forth below. The parties may select ownership allocation for prototypes produced under this Agreement.

Client retains sole ownership of prototypes and all deliverables.
Service Provider retains ownership of prototypes (license granted to Client for specified use).
Joint ownership as detailed in a separate written agreement.

Confidentiality

Each party shall maintain in confidence all proprietary information disclosed by the other party and use such information only for performance under this Agreement. Confidentiality obligations shall continue for years following termination or expiration of this Agreement, except as required by applicable law.

Warranties, Limitations and Indemnity

Service Provider warrants that deliverables will materially conform to the agreed acceptance criteria for a period of days after acceptance. EXCEPT AS EXPRESSLY STATED, ALL OTHER WARRANTIES ARE DISCLAIMED. Neither party shall be liable for indirect, incidental, or consequential damages except for willful misconduct or gross negligence. The Service Provider shall indemnify Client for third-party claims arising from Service Provider's gross negligence or infringement of third-party intellectual property to the extent caused by Service Provider deliverables.

Termination

Either party may terminate this Agreement for material breach if the breaching party fails to cure within days of receiving written notice. Upon termination, Client shall pay for work performed and reasonable expenses incurred through the effective date of termination in accordance with the Payment Schedule.

Prototype Return & Disposal

Upon termination or upon Client's written request, prototypes, physical materials and confidential documentation shall be returned or destroyed within days, with certification of destruction if applicable.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles. Venue for any action arising under this Agreement shall lie exclusively in the courts located in that state.

Dispute Resolution

The parties shall attempt to resolve disputes in good faith through escalation to senior representatives. If unresolved within days after escalation, disputes may be resolved by binding arbitration or litigation as agreed below.

Miscellaneous

Entire Agreement: This Agreement, including any attached Statements of Work and Change Orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations and representations. No amendment is effective unless in writing and signed by both parties.
