  All changes to scope, schedule, or budget shall be documented via a written change order and approved by both parties prior to implementation.

Confidentiality

Each party will maintain the confidentiality of the other party’s proprietary information disclosed in connection with this Quote. Confidential information shall not be disclosed to third parties except as required by law or with prior written consent. Confidentiality obligations survive termination of this Quote for a period of three (3) years.

Liability, Taxes & Insurance

Provider’s liability for direct damages arising from performance of the services shall be limited to the amount paid by Client under this Quote. Neither party is liable for consequential, incidental, or punitive damages. Unless otherwise stated, quoted fees do not include taxes, duties, or third-party expenses which shall be invoiced in addition and paid by Client. Provider will maintain professional liability insurance customary for the services provided.

Intellectual Property

Unless otherwise agreed in writing, Provider retains ownership of methodologies, tools, and templates developed prior to or outside the scope of this engagement. Deliverables expressly created for Client under this Quote will be assigned to Client upon full payment, except for any pre-existing Provider materials embedded in the deliverable, which are licensed to Client for internal use.

Governing Law & Dispute Resolution

This Quote and any resulting agreement shall be governed by the laws of the jurisdiction selected below. Parties shall first attempt good faith resolution of disputes through negotiation; if unresolved, disputes shall be submitted to binding arbitration in the selected jurisdiction.
